2026 Minimum Advertised Pricing Policy (MAP)

Advanced Food Concepts, Incorporated, a California corporation doing business as GU ENERGY Labs ("GU ENERGY"), believes that it is essential that its retail dealers ("RETAILERS") provide superior professional service in terms of product selection, instructions on use and the many other skills necessary to ensure customer satisfaction for GU ENERGY's nutrition products. These services are also necessary to maintain the reputation, image and competitiveness of GU ENERGY products. This requires a high level of training, product knowledge and support by RETAILERS and their sales staff.

GU ENERGY believes that the RETAILERS must earn sufficient profits to provide these professional services consistently. In addressing the need for these services and sufficient retail profit margins to guarantee that these services are provided, GU ENERGY has established the following advertising policy (the "Policy") with respect to RETAILERS that advertise through one or more internet web sites or any other means of off-site advertising or advertising via electronic commerce.

Pricing decisions are and remain within the prerogative of each individual RETAILER and this Policy does not in any way limit the right of any RETAILER to set its own prices. GU ENERGY will not discuss with any RETAILER the pricing or advertising practices of other RETAILERS.

POLICY

For purposes of this Policy, GU ENERGY products include all products sold under any trademark or trade name owned by or licensed to GU ENERGY or its affiliates. GU ENERGY will not supply products or the other benefits of GU ENERGY dealership to any RETAILER that:

• advertises prices for GU ENERGY products through any internet web site or other means of off-site advertising or advertising via electronic commerce that are below the applicable suggested retail prices published by GU ENERGY.

• offers any GU ENERGY product on any online auction website under an auction listing, including, but not limited to sites like Ebay;

• advertises any GU ENERGY products that it does not carry in its inventory;

• fails to maintain a secure and confidential website to fulfill orders in a timely manner in accordance with applicable law;

• enables other third party retailers or marketplaces to sell GU ENERGY products through RETAILER'S website;

• uses any branding imagery other than the current imagery, logos, etc. then being made available by GU ENERGY;

• fails to update or change any branding imagery, visuals, video content, wording or other marketing material for GU ENERGY products as instructed by GU ENERGY or as necessary to reflect product changes and new products;

• fails to label prior years' product as "close out" product and display the product year alongside the product description and images;

• utilizes product imagery from GU ENERGY's website, catalogs or other media without GU ENERGY's express prior written consent; or

• sells any custom configurations or combinations of mixed boxes or mixed individual units of GU Energy products that GU Energy does not offer as an authorized combination through its website;

• sells any GU ENERGY products to any customers outside the United States of America.

RETAILERS may participate in authorized GU ENERGY brand on-line sales events. GU ENERGY products may be advertised in connection with these sales events at prices below the suggested MSRP price published by GU ENERGY. GU ENERGY will provide advanced written notice at a minimum of 10 working days prior to sales event outlining the terms of the sales event.

In addition, GU ENERGY brand closeouts may be advertised on-line with advertised prices of up to 50% off the retail price published by GU ENERGY when marked as “close out”.

3P RESELLER POLICY

Effective January 1, 2025 no USA Retailer is permitted to list products, sell on directly or indirectly, through any other website, including but not limited to the following: Amazon.com, Amazon.ca, Walmart.com, eBay.com, Rakuten.com, Temu.com, Shop.com, Jet.com, Etsy.com, Express.Google.com.

PENALTIES AND TERMINATION

GU ENERGY may take the following actions, and others, for violations of this Policy:

FIRST VIOLATION: GU ENERGY may require takedown or correction within 24 hours of notification.

SECOND VIOLATION: GU ENERGY may suspend all shipments, purchase orders and sales to the account for 30 days.

THIRD VIOLATION: GU ENERGY may suspend all shipments, purchase orders and sales to the account for 90 days.

FOURTH VIOLATION: GU ENERGY may terminate the account for all Products.

Although each RETAILER remains free to establish its own prices, GU ENERGY may, without notice, immediately cancel further shipments to any RETAILER whose advertising is not consistent with this Policy. GU ENERGY may also decline to accept orders from that RETAILER for GU ENERGY products.

The Policy covers all forms of off-site advertising and all forms of advertising via the internet or other electronic media, including disguised discounts on GU ENERGY products such as discount packages that include GU ENERGY products, subscription-based retailers, and percentage discounts on all store merchandise (unless the advertisement for the percentage discount includes exceptions for "certain items," "certain products subject to manufacturer guidelines" or similar disclaimers).

This Policy supersedes and supplements the general GU ENERGY advertising policy but only with respect to advertising through one or more internet web sites or other means of advertising via electronic commerce.

This policy must be renewed on an annual basis.

This Policy has been unilaterally adopted by GU ENERGY. This Policy will be enforced strictly and uniformly by GU ENERGY and GU ENERGY will make all determinations concerning violations of this Policy unilaterally in its sole discretion. There will be no warnings to, discussions with, or appeals by any violator. GU ENERGY neither solicits, nor will it accept, any approval or assurance of compliance with this Policy by or from any RETAILER. Nor shall anything in this Policy constitute or be construed to constitute an agreement between GU ENERGY and any RETAILER that the RETAILER will comply with this Policy. GU ENERGY may modify this Policy at any time. No employee of GU ENERGY has any authority to grant any exceptions or modifications to this Policy for the benefit of any particular RETAILER.
